Biography

Marcia Swihart Orgill concentrated her practice in the area of domestic and international business transactions. She assisted clients with entity formation and structure, buy/sell agreements, shareholder agreements, and the drafting and review of commercial and other business contracts. Marcia had experience in drafting and reviewing international agency and distribution agreements in Europe, Latin and South America, and Asia. She also adviseed clients on a wide range of domestic and international tax issues. Her tax experience included:

  • IC-DISC formation and ongoing compliance issues for U.S. export companies
  • Shareholder and corporation tax issues
  • International inbound and outbound transactions
  • FIRPTA planning and compliance
  • Obtaining tax exempt status for non-profit organizations, corporate governance and unrelated business taxable income issues

Marcia lived internationally in Malaysia and Paris for 14 years, where she taught English and sat on the school board of the International School of Kuala Lumpur. Marcia’s international experience gave her a broader perspective in addressing the needs of clients with global interests and complex situations. She was an appointee of the U.S. Secretary of Commerce to the Missouri District Export Council, which provides exporting advice to companies in Missouri seeking to expand international sales.
